Nothing in these conditions shall exclude or limit our liability for death or personal injury caused by our negligence, for our fraud or otherwise to the extent it would be illegal to do so.

Use of the website by children / parental guidance

By submitting your details when registering for tickets to a wedding show you automatically authorise HH Norfolk Ltd to send you emails regarding the show.

Contributions, notice boards, and chat rooms

By submitting any material to us you automatically grant us the royalty-free, perpetual, irrevocable right and license to use, reproduce, modify, edit, adapt, publish, translate, create derivative works from, distribute, perform and display such material (in whole or part) worldwide and/or to incorporate it in other works in any form, media, or technology now known or later developed for the full term of any rights that may exist in such content.

You acknowledge:

  • we may select or reject any material for publication at our sole discretion and no correspondence will be entered into.
  • material submitted by you may be published in any publication or website produced or published by HH Norfolk Ltd and/or may be supplied by us for publication by third parties at our discretion.
  • you are over 18 years of age and you are the bill payer or have the permission of the bill payer to send us the material.
  • your email address and password are personal to you and you must not allow anyone else to use them.

  • that is not original to you and you grant us a royalty-free irrevocable and perpetual licence to use, reproduce in whole or in part, modify and adapt such material and authorize others to do so in any media now known or in future developed in any part of the world; and
  • that you understand and agree that any breach of these warranties may cause us damage and loss and you agree to indemnify us and keep us at all times fully indemnified from and against all claims, costs, loss or damage incurred by us directly or indirectly as a result of any material posted by you on the website or any use by you of the website.

We reserve the right (but do not assume the obligation) without notice to remove any material which we in our sole discretion deem to be harmful, offensive or otherwise in breach of these terms and conditions and/or to terminate the registration of any person who we in our sole discretion deem in breach of these terms and conditions. This is without prejudice to any of our rights at law all of which are specifically reserved.

Conditions of acceptance of advertisements

IMPORTANT: These Conditions contain an indemnity if you breach Your warranties to Us.

General

These Conditions apply to any advertisement which you have asked Us to publish on Your behalf in a Title (the “Advertisement”) and by making such an offer (an “Order”) you agree to be bound by these Conditions in that respect.

These Conditions override any terms stipulated by you on order forms or elsewhere unless we accept those terms in writing. If we do so, these Conditions will apply except to the extent that they are inconsistent with anything so agreed by Us.

Definitions

“We” and “Us” means, and “Our” refers to, the Company which is the publisher of the Title in which you have asked Us to publish Your Advertisement.

“Title” means any publication or website which we publish.

“You” means, and “Your” refers to, the person placing the Order with Us and where that person is an advertising or other agency placing the Advertisement on behalf of their client that agency agrees that it has placed the Order as principal.

Orders

We may insist on you submitting Your Order in writing and if we do so you will not be deemed to have placed an Order until we receive it in writing. If we do not insist that you submit Your Order in writing it is deemed to be placed when the initial Order is made, subject to the terms and conditions below. If you deliver copy instructions to Us, we may treat this as an Order unless it is clearly marked as “not constituting an Order”.

We will notify you if we do not accept Your Order within 3 working days of receiving it. Publication of the Advertisement will mean we have accepted the Order.

We are not obliged to accept Your Order or to publish any Advertisement placed by you and cannot guarantee insertion, special position, the date or the classification of any such Advertisement, or the distribution of the Title. we will not be liable for any loss or damage incurred as a result of Our failure in these respects. we may reject any Order (in whole or part) prior to (any) publication by notice to you and (to the extent rejected) we will refund any pre-payment in that case but will have no further liability.

We may carry forward an Advertisement not inserted to the next suitable issue of a Title.

If you place an Order but fail to provide copy/artwork by the publication deadline, we may repeat any previous relevant Advertisement from you for which we have copy, or use a filler, and charge you the full price of Your Order in any event.

Advertising standards, legal obligations and third party rights

You confirm and warrant to Us that the copy you provide and the publication by Us of an Advertisement pursuant to an Order will:

  • be legal, decent, honest and truthful;
  • not result in a breach of any relevant Code of Practice, including other provisions of the Advertising Standards Code of Practice
  • not breach any legislation;
  • not be defamatory;
  • not infringe any copyright, trademarks or other legal rights of any person or company and that you have received any consent needed to refer to or portray people (expressly or impliedly) in the Advertisement.
  • when appearing on any HH Norfolk Ltd website will not contain hyperlinks or metatags linking to the advertiser’s own website unless express prior permission has been granted by HH Norfolk Ltd.

You agree:

  • to indemnify Us in respect of all costs, damages and other charges we incur or to which we are subject as a result of publication of any Advertisement pursuant to Your Order where there is a breach of any warranty given by you to Us;
  • not to be in breach of contract in relation to the Order/Advertisement;
  • that we may store, reproduce and distribute copy relating to any Advertisement, including by electronic means;
  • that we may without notice or warning destroy any box office correspondence or communication received in response to an Advertisement which we think it inappropriate to deliver;
  • that we accept no liability in respect of any loss or damage alleged to have arisen though delay in forwarding or omitting to forward replies to box numbers to the advertiser (however caused)
  • that we may liaise with the police and/or any other relevant authority in relation to any Order/Advertisement or any response to any of them we receive (including passing on Your details);
  • that we may record and use Your details to perform Our obligations under these Conditions and publish Your Advertisement (including by passing them to other group companies and/or sub-contractors as reasonably necessary to do so);
  • if you are an agency acting for a client, that we may provide a proof of the Advertisement direct to the client for approval by whatever means we deem appropriate;
  • that we may hold Your details on record for a reasonable period and contact you about future advertising opportunities which we believe may be of interest to You.
  • that we may use Your details to contact you for feedback relating to your Advertisement and/or the publication in which you advertised.
  • that any material submitted by you is held by Us at Your own risk and should be insured by you against loss or damage from what ever cause. we reserve the right to destroy without notice all such property after the date of its last appearance in an advertisement unless you have given written instructions to the contrary.
  • that you acknowledge that we shall have no liability for any variation of up to 10% in the final published size of any advertisement.

Cancellation

We are not obliged to accept a cancellation request (which we may require to be made in writing). You have 7 days after booking your magazine advertisement or exhibition stand to cancel your booking free of charge. Anytime after this, cancellation fees will apply as follows:

After confirming booking: 30% cost | 6 weeks prior: 50% cost | 5 weeks prior: 60% cost | 4 weeks prior: 70% cost | 3 weeks prior: 80% cost | 2 weeks prior: 90% cost | 1 week prior: 100% cost

 

Artwork

We retain copyright (and any other intellectual property rights) in all Our artwork, copy and other materials in any Advertisement (even if combined with any of Your copyright materials). In addition, you agree that we own the copyright in the typographical arrangement of all Advertisements. No copy in any form will be returned unless agreed in writing by Us at the time of placing the Order.

We will not be liable for accidental loss or damage to Your copy, including artwork and photographs, in any format. Accordingly, Our liability for non-accidental damage to Your copy will be limited to the value of the medium in which they are embodied.

Errors, omissions or inaccuracies in Advertisements

We will not be liable for:

  • any error (including but not limited to spelling and text errors), misprint, inaccuracy or omission in Advertisements, a proof of which has been agreed by You;
  • any error (including but not limited to spelling and text errors), misprint, inaccuracy or omission in an Advertisement, if that error is notified to Us more than one week after its publication;
  • any error (including but not limited to spelling and text errors) misprint, inaccuracy or omission in a second or subsequent Advertisement in a series;
  • any error (including but not limited to spelling and text errors) misprint, inaccuracy or omission in an Advertisement which does not detract from the essence of that Advertisement.

Where we acknowledge an error (including but not limited to spelling and text errors) misprint, inaccuracy or omission we will, at Our choice, either publish the corrected Advertisement, or depending upon how payment was made issue you a credit note or refund Your credit/debit card, to a value not exceeding the price of the Advertisement and this will be the limit of Our liability in respect of the error, misprint, inaccuracy or omission.

Payment

Except where otherwise stated, all prices quoted are exclusive of VAT.

You will pay for an Advertisement on placing an Order, unless credit terms have been agreed. you will be sent an invoice unless you have pre-paid (or a direct debit arrangement is in place), in which case you will only be sent an invoice if you request one. All credit terms will be subject to the terms of the Credit Application Form.

A query on an item on an invoice issued by Us will not affect the time at which you are liable to pay the rest of that or any other invoice issued by Us.

If you do not pay a sum due to Us by the due date, all sums due by you to Us become payable on the due date for the sum not paid and we may suspend further advertising for you and charge you compensation and interest according to the Late Payment of Commercial Debts (Interest) Act 1998.

Applicable Law

Nothing in these conditions shall exclude or limit Our liability for death or personal injury caused by Our negligence, for Our fraud or otherwise to the extent it would be illegal to do so.

These Conditions shall be governed by and construed in accordance with the laws of England and Wales.

Competitions

The winner(s) may be notified by email and the results may be published on this website and/or in the paper. we reserve the right to report details of competition winners, to take photographs (or other visual media) and to publish such media.

The prize must be taken as offered with no alternative. In the event that the prize cannot be supplied no liability will attach to HH Norfolk Ltd and it’s employees. Entry into any competition does not give rise to any binding agreement between the parties. When prizes are supplied by third parties we are acting as their agents and as such we exclude all liability for loss or damage you may suffer as a result of any Competition.

Event attendance

CCTV and cameras (including TV) may be present at the event. By purchasing a Ticket to the Event and/or attending the Event you give your express consent to all such filming and to your actual or simulated likeness being included within any film, photograph, audio and/or audiovisual recording (“Footage”), all rights in which will be owned by us. You also agree that any such Footage may be used by us in any and all media for any purpose at any time throughout the world, including (with the exception of CCTV or security Footage) for commercial purposes.

Additional services

From time to time we may provide additional services for you to download. However, the download time may vary considerably between the types of content and you agree that you are wholly liable and responsible for any telephone call and/or other charges incurred in downloading the same.

While we select Our trading partners with care, we cannot be held liable for any loss or damage whatsoever which you may suffer as a result of Your decision to enter any dealings or transactions with, or supply personal information to, a trading partner or any third party. Please ensure you are aware of whom you are contracting with and the relevant terms and conditions prior to entering into any contract.

A contract for us to supply you with goods or services will only be created when we accept your order (which we may do in writing, by email or by fulfilling that order). Goods and services advertised on this website may not actually be available when you place your order as we reserve the right to withdraw services at any time.

Once we accept your order we will inform you in writing of the details of your order, the price of the goods including taxes and delivery costs, arrangements for payment and delivery, and your/our obligations

We shall deliver your goods within a maximum of 30 days beginning with the date of the order. If goods are not available, we will inform you and reimburse any sum already paid within 30 days.

You have the right to cancel the contract for whatever reason within seven working days (“cooling off” period) from the date that you receive the goods (or, for services, the date of conclusion of the contract) or from the date the written confirmation is provided if later. This right to cancel does not apply to excluded contracts.

Certain contracts are excluded from the right to cancel and you will not automatically have the right to cancel these contracts. For example, contracts for customised goods (eg. advertisements) or those which deteriorate rapidly (eg. food and perishable items) and contracts for the supply of video or audio recordings or computer software that is unsealed by you.

If you cancel the contract we will re-imburse you as soon as possible. In any event, we will refund you within 30 days of the notice of cancellation, without any charge other than the direct cost of returning the goods.

Where you return the goods by post, you are under a duty to take reasonable care to see that they are received and not damaged in transit.

Indemnity

You agree to indemnify and hold HH Norfolk Ltd, its subsidiaries, and affiliates, and their respective officers, agents, partners and employees, harmless from any loss, liability, demand, claim or legal proceedings brought or threatened, including expenses of any character suffered or incurred arising out of your use of the website or the services in violation of this agreement, and/or arising from your use of or conduct on the website or in use of the services and/or a breach of this agreement.

Exhibition Terms and Conditions

  1. DEFINITIONS

In these Summary Terms & Conditions the term ‘Exhibitor’ means any person, firm or company who has made an application for and who has been granted stand space at the exhibition. The term ‘Exhibition’ means the event detailed on the Booking Form. The term ‘Organiser’ means HH Norfolk Limited or their lawful assigns.

  1. EXHIBITS

The Exhibitor shall not be entitled to assign or sublet the whole or any part of the space allocated to him. The Exhibitor must not display any exhibits or merchandise in addition to or in place of those described on the Booking Form, without the prior written permission of the Organiser. Advertising literature or other products not relating to the Exhibitor’s business must not be displayed or distributed from either the stand space or anywhere else within the Exhibition venue. Nails, screws, glue,blu-tack or anything that will damage the fabric of the shell panels should not be used. Any damage caused by the exhibitor will be charged at the current repair or replacement cost.

  1. ALLOCATION OF STAND SPACE

Upon receipt of the contractual Booking Form and any specified deposit from the Exhibitor, the Organiser will confirm the allocation of the appropriate stand space by the issuing of a confirmation invoice. Applications for space will be at the discretion of the Organiser.

  1. RELOCATION OF STAND SPACE

Should it be necessary for the Organiser to revise the layout of the Exhibition floor plan for any reason, the Organiser reserves the right to transfer the Exhibitor to another stand space within the Exhibition without recourse to compensation, unless the stand space is reduced in size in which case the cost of the stand space shall be reduced proportionately.

  1. REDUCTION OF STAND SPACE

When an Exhibitor wishes to reduce the size of the stand space booking after acceptance by the Organiser, then written notice must be forwarded to and received by the Organiser by registered post. The Organiser reserves the right to apply the scale of cancellation charge detailed in Section 4 above to the total cost, in proportion to the amount of space by which the original stand space is reduced. The Organiser may resell or reallocate the stand space but shall be under no obligation to reimburse any part of the cancellation charge. The Organiser shall not be obliged to accept the Exhibitor’s notice of reduction.

  1. CANCELLATION OF STAND SPACE

(1) If the Exhibitor wishes to cancel the stand space booking after acceptance by the Organiser, or alternatively the Exhibitor fails to meet any of the payment obligations (whether as to the amounts or the dates of payment – see Clause 18 below) detailed on the Booking Form and/or invoice, then the Organiser reserves the right (without being obliged to do so and without prejudice to any other right or remedy available to the Organiser) to apply the following cancellation/termination charge and to resell or reallocate such stand space: Cancellation/termination occurring

(a) More than 3 months before the date of event, cancellation charge of 60% of total cost

(b) Less than 3 months before the date of event, cancellation charge of 100% of total cost

(2) If the Exhibitor wishes to cancel the stand space booking then written notice must be forwarded to and received by the Organiser by registered post not later than the time scales referred to in (1) above. The Organiser shall not be obliged to accept the exhibitor’s notice of cancellation.

(3) The Organiser may resell or reallocate the cancelled stand space but shall be under no obligation to reimburse any part of the cancellation charge.

(4) In the event of the Organiser rescheduling the event for reasons unknown, force majeure, the Organiser will act in good faith to provide a similar date, or new date provided to the Exhibitor for the providing of the same goods agreed to (exhibition stand) whilst retaining any booking fees paid thus far (not refunding).

(5) In the event of no alternative date being offered by the Organiser, the Organiser will look to agree a fair term of repayment of booking fees paid by the Exhibitor.

  1. BANKRUPTCY OR LIQUIDATION OF EXHIBITOR

If an Exhibitor being an individual or business becomes bankrupt, is issued with a receiving order or makes a creditors arrangement, or in the case of a Limited company goes into liquidation or has a receiver appointed, the contract with  the Exhibitor shall be terminated and the Cancellation terms and charges detailed in Clause 4 above shall be applied.

  1. DURATION OF EXHIBITION

Details of exhibition hours are given in the Organisers’ Exhibition Information Pack. During these times stands must be manned by Exhibitors staff at all times, and the Organiser accepts no responsibility for loss of exhibit and/or associated stocks at any time.

  1. 9. BUILD-UP AND BREAK-DOWN

The Exhibitor must adhere to the build-up and break-down times stipulated in the exhibition instructions. In the event that the Exhibitor fails to remove all their property, furniture and waste material from the Exhibition venue by the end of the contracted break-down time on the final day, these items will be removed and the Exhibitor will be solely liable for all costs incurred in such removal, storage and/or disposal.

Neither the Organiser, the venue nor any of the show contractors will be liable for any damage to such property or any loss incurred by the Exhibitor in these circumstances.

  1. SPACE NOT OCCUPIED

The Exhibitor must occupy the space allotted to him by show opening time on the first day of the Exhibition. Any Exhibitor failing to do so will be deemed to have cancelled their space booking. In this event the Terms and Conditions relating to Cancellation will apply and the Organisers may resell or reallocate the space.

  1. REMOVAL OF EXHIBITS

The Organisers reserve the right to require the Exhibitor to remove any exhibit whatsoever which is being exhibited at any Exhibition if the Organisers in their absolute discretion consider that the same is libellous or of an obscene nature or may infringe the rights of any third party or which the Organisers consider in their absolute discretion to be undesirable or detrimental to the Exhibition, other Exhibitors or the general commercial interests of the Organisers or any other company from time to time forming part of the same group of companies of which the Organisers form part.

  1. DANGEROUS MATERIAL

The following are excluded from the Exhibition: explosives, detonating or fulminating compounds and all dangerous or harmful objects can only be exhibited in the form of imitations and on condition that they contain no inflammable matter.

  1. FIRE PRECAUTIONS

All materials used for building, decorating or covering stands must be of non-flammable material.

  1. HEALTH & SAFETY

Exhibitors must act in accordance to relevant Health & Safety and manage risk assessment appropriately.

  1. DISPLAY

No Exhibitor will be permitted to erect their display goods in such a manner as in the opinion of the Organisers obstruct the light or impede the view along the open spaces and gangways or to inconvenience the display of other exhibitors. Exhibitors are to confine their activities to their allocated stand and not take up more space than their allocation; nor impinge on another exhibitor’s territory. The distribution of leaflets from anywhere other than exhibitors allocated stands is not permitted.

  1. NOISE

No public address system, music, generators or electric amplification shall be operated from any trade stand or exhibition without the prior consent in writing of the Organisers. No noise shall be created on a trade stand at a level likely to cause distress or concern to traders or to the general public.

  1. PROHIBITION OF TRANSFER

The Exhibitor must not assign, sub-let nor grant licences in respect of the whole or any part of the stand space allocated to them without the prior written permission of the Organiser.

  1. PAYMENT OF STAND SPACE

A non-refundable deposit as specified on the Booking Form, representing a minimum 25% of the cost of the stand space must be provided by the Exhibitor at the date of booking, unless agreed otherwise with the Organiser. The final instalment of 75% is payable by on the date specified on the invoice, latest being 30 days prior to the show. If payments are not made by the Exhibitor in accordance with the agreed schedule, then the Organiser reserves the right to apply the scale of cancellation /termination charges to the total cost as detailed in Section 4 above. The Organiser may resell or reallocate the stand space but shall be under no obligation to reimburse any part of the cancellation/termination charge. The Exhibitor shall however remain fully liable for any amount outstanding on this booking.

  1. PROMOTION AND PRESENTATION

The Organiser shall have sole discretion as to organising and promoting the Exhibition in such manner as considered appropriate and reserves the right to amend or vary the manner or methods of such organisation and promotion without explanation or liability. Any statements made by or on behalf of the Organiser as to attendance projections or methods or timing of promotional activities shall constitute only general indications of the Organiser’s promotion and organising strategy, and shall not amount to any representation or warranty.

  1. POSTPONEMENT OR ABANDONMENT

(1) In the event of any abandonment, postponement, relocation or limitation of the Exhibition, any restriction on the use of the premises or any part thereof, or any failure of the services provided therein, the Exhibitor or his agents or contractors shall have no claim whatsoever against the Organiser in respect of any resulting loss, booking revenue and/or deposit or damage and the Exhibitor’s liabilities to the Organiser shall not in anyway be affected.

(2) The Organiser accepts no responsibility if delivery of goods and materials or the execution of work is held up or prevented by any cause beyond their control, including without liability the generality of the following:

(a) Strike, lock-out, labour disturbance or restriction;

(b) Failure by the Exhibitor, his agents or contractors to give instructions or supply the necessary stand plans in due time.

  1. DATA PROTECTION

If any Personal Data (as defined by the Data Protection Act 1988) is disclosed by the Organiser to the Exhibitor in connection with the Exhibition, the Exhibitor shall only process the Personal Data in accordance with the instructions of the Organiser and the Exhibitor shall comply with the Data Protection Act 1988 at all times.

  1. LIABILITY

(1)Nothing in the Terms shall exclude or restrict the liability of either party to the other for death or personal injury resulting from negligence or for fraudulent misrepresentation or in any other circumstances where liability may not be limited under any applicable law.

(2) The Exhibitor hereby accepts total liability for all acts or omissions of himself, his business, directors, employees, servants, contractors, agents and visitors, and undertakes to indemnify the Organiser against any and all liability in respect thereof and against any and all actions, legal suits, proceedings, claims, demands, costs and expenses whatsoever, which may be taken or made against the Organiser or incurred or become payable, which arise therefrom or in respect thereof. This includes anyand all claims arising from death, personal injury and the supply by the Exhibitor of merchandise or samples of any kind whether such items be sold or complimentary, plus any and all legal costs, compensation, disbursements and expenses should these be paid by the Organiser on the advice of Counsel to compromise or settle any such claims.

(3) Neither the Organiser, venue owner, shell scheme contractor nor any of their employees shall be responsible for the safety of any exhibit or property of any Exhibitor or any other person, or for the loss or damage of or destruction to the same by theft, fire or any other cause whatsoever, or for any and all loss or damage incurred or sustained by the Exhibitor by reason of any defect in the venue building or structure caused by fire, storm, tempest, lightning, national emergency, war, terrorism, labour dispute, strike or lock-out, civil disturbance, explosion, accident, force majeure, or any other cause not within the control of the Organiser, whether foreseeable or not, or for any consequential or financial loss or damage caused by reason of any such event happening or the building becomes wholly or partially unavailable for the Exhibition.

(4) The Organiser shall not be liable to the Exhibitor for: loss of profits including anticipated profits, loss of business, depletion of goodwill and/or similar losses, loss of anticipated savings, loss of goods, loss of contract, lose of use, corruption of dataor information, or any special, indirect, consequential or pure economic loss, costs, damages or expenses.

(5) The Organiser’s total liability in contract, tort (including negligence or breach of statutory duty), misrepresentation, restitution or otherwise arising in connection with these Terms shall be limited to the fees paid by the Exhibitor to the Organiser under the Booking Form.

  1. EXHIBITOR INSURANCE

The Exhibitor is required to take out appropriate third party public liability insurance for a minimum of £1,000,000 with a reputable insurance company and to produce a copy of such insurance policy to the Organiser if so requested. The Exhibitor is also advised to insure against cancellation, abandonment, postponement, the full replacement value of the contents of their stand space, all associated ancillary equipment and materials, and all other contingencies.

These Terms and Conditions shall be governed by and construed in accordance with the laws of England and Wales.
